LEGAL COUNSEL

We are looking for a smart, well-organized and highly motivated in-house Legal Counsel to support our General Counsel (based in Amsterdam), in connection with corporate matters and housekeeping, legal compliance, contract negotiation and management, M&A and general legal matters. 

For this role, we are looking for someone with a fluent level of Dutch and English language. Please note that this is essential. 

Dept is a fast-growing international digital agency. Part of that growth comes from acquisitions in Europe and the USA. With that growth, we also look to continuously strengthen our corporate and legal structure, while keeping tight control over corporate and contractual matters and compliance in general.

Key focus of this role:

  • Handling of corporate law matters, including corporate governance 
  • Regulatory compliance affairs
  • Commercial contract negotiation and management
  • Manage legal aspects of M&A projects. 

Based in Amsterdam or Rotterdam, you will work on a wide range of legal matters. You will support the business with drafting, reviewing and negotiating corporate and commercial contracts with various stakeholders. Such contract tasks have a focus on screening and negotiating various (technology) agreements, including master service agreements, software license agreements, non-disclosure agreements, clients’ terms and conditions and supporting corporate and commercial transactions. In addition to this, you will contribute to the company’s compliance in general and specifically data protection laws and financial regulations. You will work in the Legal and M&A Team (7 colleagues) and report to the General Counsel and ultimately to the Chief Operating Officer.

YOU:

  • Have a Master’s degree, or equivalent qualification, in law, including advanced studies specializing in contract and corporate law;

  • Have at least 5 years of relevant experience in legal practice. Prior in-house experience in a listed multinational company is considered a plus; ;

  • Have strong verbal and written communication skills in Dutch and legal English;

  • Have demonstrable experience with negotiating, drafting and executing a diverse range of commercial agreements including T&Cs, software licensing, SLAs, partner agreements, general procurement agreements etc;

  • Know how to manage compliance and its controls proactively in an ever changing environment

For our M&A team we are looking for an M&A Manager for the APAC region that can help us to further build Dept as a global digital agency.

As our M&A Manager APAC you are going to work together closely with our current M&A Managers for the US and EMEA. Together, you will search for new agencies that want to join Dept and grow with us to become a global leader in our industry. You will oversee the whole M&A process for acquisitions in the APAC region; from mapping out the market and finding targets to executing the actual transaction and everything in between. As the pivot in our international expansion you will liaise the investment team of our shareholder Carlyle and the Dept Board.

During the transaction you will oversee the different due diligence advisors and you will make commercial analysis and considerations. Thereafter you will negotiate the transaction documents and you will model and structure the investments we do. For Dept it is very important that a newly acquired party integrates well within Dept. Therefore your work doesn’t necessarily stop after the ink of the signatures has dried up. For a large part you will become responsible for the success of our expansion. This is a role that has a great deal of challenges connected to it.

Hospitality Specialist

Jouw glimlach is het eerste dat we zien als we binnenkomen op ons kantoor in Amsterdam. Dat geldt ook voor onze gasten. Als receptioniste ben je het visitekaartje van Dept: je uitstraling zegt al “welkom, wat kan ik voor je doen?”, voordat je die woorden hebt uitgesproken. Gastvrijheid zit in je DNA!

Als Receptioniste ben je onderdeel van het Hospitality team binnen Dept en dus werk je veel samen met je Hospitality collega's van Catering en Tech Support. Samen zorgen jullie ervoor dat het facilitaire stuk binnen Dept soepel loopt. Problemen worden opgelost voordat iemand het in de gaten heeft. En we zijn met z’n allen constant bezig om onze kantoren nog gastvrijer en leuker te maken. 

Hoe ziet je dag eruit?

Nee, je zit zeker niet de hele tijd achter je bureau! Je werkdag start aan het begin van de middag rond 13:00 en rond 18:00 uur ben je klaar. Je beantwoordt binnenkomende telefoontjes, ontvangt gasten en maakt lekkere koffie voor ze.

Dan komt er een berg pakketjes binnen voor onze Depsters. Je handelt de levering af met de bezorger en stuurt je collega’s een berichtje dat hun pakket er is.

Terwijl je iemand uitlegt hoe onze desk booking tool werkt, staat je Team Lead aan je desk. Je hulp is hard nodig bij de voorbereiding van een design evenement die avond bij ons op kantoor. Je zet alle stoelen klaar, zorgt dat de bar er netjes bij staat en catering geregeld is. Dan komt er een collega bij je langs: alle spreekkamers zijn vol en er komt straks een klant, dus even puzzelen. Zo, weer veel mensen blij gemaakt, en dit alles met een glimlach want jij laat je niet gek maken als er 10 dingen tegelijk gebeuren. Sterker nog: je krijgt hier juist energie van.

Je sluit de dag af met het in orde maken van de spreekkamers en zorgt ervoor dat het kantoor er weer top uitziet voor de volgende werkdag.

Wanneer dans je op de tafels?

Als alles dankzij jouw hulp op rolletjes loopt en alle gasten en collega’s zich thuis voelen op kantoor.

  • Je bent 25 uur per week beschikbaar, en in ieder geval dagelijks tussen 13.00 en 18.00 uur (MUST!); Minder uren zijn eventueel bespreekbaar

Summary 

  • Support Dept’s in-house legal team on day to day legal matters and compliance projects, including preparation of (basic) agreements for customary business engagements, coordination of legalisation of documents and assembling of signatures, and organisation and maintenance of corporate records. 
  • Assist with managing international subsidiaries, directors and officers’ information, corporate record-keeping, annual account filings, governance policies, and compliance processes.
  • Assist in global subsidiary contract management, maintenance and tracking of key contract terms.

  • Work with a keen eye on quality and checks to ensure flawless execution and administration.

Project Assistant Werkstudent

For our Digital Marketing team we are looking for a Project Assistant (Working Student) in Rotterdam who can help the team with all the administrative puzzles and challenges that help our customers to deliver a positive experience with Dept.

As a Project Assistant in the Digital Marketing team, you and our project managers ensure that all Depsters can log their hours, that customers know what work we do for them and that invoices are sent with care. You interact with account & project managers, team leads, consultants and the finance department.

You’ll learn to process the data in our systems. For example, if there are any changes to be made regarding our services to the customer, you can adjust this in the system. In addition, the customer must be entered in our “Dept apps”. Dept apps is our own internally designed hours/billing administration tool. As a leading digital agency, everything depends on the quality of our services, including flawless invoicing and admin. You ensure that all upsell of cross-selling activities are tracked perfectly and in a structured manner, so that invoicing is never a problem. This can sometimes amount to certain changes per quarter. In this role you are a point of contact for internal stakeholders such as our account and project managers, who will provide you with the data you need. At the same time, you enable them to log their hours on the various projects. This makes you the spider in the web of the Digital Marketing team!

Management Support & Travel Werkstudent

Voor ons kantoor in Amsterdam of in Rotterdam zijn we op zoek naar een tijdelijke ambitieuze en talentvolle werkstudent die onderdeel wil zijn van een snelgroeiende, internationale organisatie.


Als werkstudent word je onderdeel van het Management Support & Travel team en help je met het ondersteunen van de Global executive team van Dept. Binnen dit “controlcenter” worden zeer complexe agenda’s beheerd, prioriteiten gesteld en
reizen geboekt, zowel in binnen -en buitenland.

Daarnaast boek je in overleg reizen en hotels voor het Global Executive team, houd je toezicht op alle te maken reizen binnen Dept, zoek je hotels en boekt congressen. Je bent betrokken bij het organiseren van interne events in binnen- en buitenland.

Naast de organisatie van de logistiek, help je ook als aanspreekpunt voor je collega’s wereldwijd op het gebied van reizen. Het reisprogramma is uitdagend en complex. Het ontzorgen van de reizende medewerkers, met de travel policy rekening houdend, is een van je taken. Een culture-fit en goed inlevingsvermogen om dit te realiseren is een belangrijke eigenschap.

De werkzaamheden zijn erg divers, wat dus ook betekent dat je snel moet kunnen schakelen. Naast de verantwoordelijkheid op het gebied van de reizen ondersteun je je collega’s bij het beheren van de agenda’s en administratieve werkzaamheden zoals het maken van afspraken, boeken van spreekkamers, opzetten van conference calls, en help je met het organiseren van evenementen. Maar ook taken als gifts bestellen, bloemen bestellen, lunch regelen, mail beantwoorden, stoelen in vliegtuigen boeken, inchecken; het hoort er allemaal bij.


Een groot gedeelte van het werk doe je vanachter je bureau (en uiteraard tijdens de pandemie vanuit huis), zoals het helpen bij het maken van draaiboeken, het plannen van events en afspraken of het bijwerken van Excel-lijsten.

Maar we verwachten ook dat je representatief bent en tijdens events een fijn aanspreekpunt bent.

Iedere dag komen er nieuwe uitdagingen op ons pad. We werken hard, houden elkaar scherp en zijn een team.

JIJ:

  •  MBO 4 Secretaresse/management assistent of HBO-opleiding in de richting van Office Management, Toerisme, Travel & Hospitality of vergelijkbaar;
  • 3 tot 5 jaar relevante stage- en/of werkervaring;
  •  Hebt ervaring in het werken met Gmail, Google Calendar, Google sheets, Google docs, Dropbox en Keynote;
