What will your day be like? 

We’re looking for someone who views contracts as the key to building successful relationships and growing a business. Our Commercial Counsel will have responsibility for both customer and vendor contractual matters in the United States and provide the company with legal advice on business agreements.  This role requires an individual with personal confidence, strong collaboration and communication skills, and legal acumen. We prefer you have an understanding of digital services and technology development and we’re happy to teach you the specifics of our business if you have a strong business-minded approach to how you practice law.  In addition, the role will require sound judgment and decision making, sometimes with limited information and tight timeframes.  

What you’ll do: 

  • Drafting, reviewing, and editing agreements, including but not limited to, MSAs and SOWs for new clients, SOWs and amendments for existing clients, DPAs, SaaS agreements, vendor agreements, consulting agreements, and leases
  • Negotiating agreements with counterparties (both clients and vendors) and effectively representing the company
  • Building relationships with business-team counterparts and identifying ways to improve and evolve contracting language as needed
  • Managing the company’s existing and new contracts in collaboration with the Contracts Manager
  • Approaching existing processes with curiosity and develop improvements where appropriate
  • Maintaining and continuously improving the company’s contract/agreement templates
  • Partnering with the General Counsel to handle commercial disputes and issues as they resolve; providing guidance to the business in navigating such disputes and issues
  • Providing legal advice to all levels of the company’s management, as needed
  • Keeping abreast of GDPR, CCPA, and other similar data security and privacy legislative changes that affect the company
  • Maintaining professional and technical knowledge by attending educational workshops, reviewing professional publications, and participating in professional societies and strategic events
  • Working with external parties as needed (subject expert counsel, etc.)

What we’re looking for:

  • Strong legal experience with contract negotiation and review, familiarity with data privacy laws
  • Ability to move quickly yet efficiently to protect risk while maximizing turn-around time
  • Knowledge of applicable statutes, rules, and regulations pertaining to Dept’s business and its states/countries of operation
  • A high level of deductive reasoning, inductive reasoning, complex problem-solving, critical thinking, and information analysis skills are essential to defining and solving issues. Must be able to make decisions even when insufficient information is available
  • Experience with creative production contracts (music licensing, talent agreements, video production agreements) a plus
  • Excellent written and verbal communication skills
  • The ability to encourage and build mutual trust, respect, and cooperation among all Dept team members
  • Strong focus on treating everyone at Dept as a client, and treating Dept’s clients with respect and a win-win problem solving demeanor
  • Ability to predict and prevent legal issues and risks
  • Effectively represent the organization as appropriate in its relationship with legal and business communities
  • High professional and personal standards with unquestioned integrity 

Education:

A Juris Doctor degree from accredited law school, as well as retention of appropriate state license(s). 

Location: 

Location preference is Chicago, Illinois, but qualifications and fit with Dept are more important than location.
